Welcome to mipostudio.com (the "Website"), operated by Mipo Studio ("Mipo Studio", "we", "us", "our"). These Terms & Conditions ("Terms") govern your access to and use of the Website and any purchase you make through it. By accessing the Website, creating an account, or placing an order, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Website or make a purchase.

1. Definitions
  • "Website" means mipostudio.com and all pages, subdomains, and services connected to it.

  • "Products" means clothing, accessories, and any other goods offered for sale on the Website, including our modular capsule pieces.

  • "Order" means a request to purchase Products submitted through the Website.

  • "You" means the visitor, customer, or account holder using the Website.

  • "Australian Consumer Law" or "ACL" means the consumer law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

3.1 Eligibility

You must be at least 16 years of age to purchase Products through the Website. If you are under 18, you may use the Website only with the involvement of a parent or guardian.

3.2 Your account

You may be required to create an account to place an Order. You agree to provide accurate, current, and complete information, to keep your password confidential, and to notify us immediately of any unauthorised use of your account. You are responsible for all activity that occurs under your account.

3.3 Acceptable use

You agree not to:

  • use the Website for any unlawful purpose or in breach of any applicable law;

  • copy, reproduce, or exploit any part of the Website for commercial purposes without our written consent;

  • attempt to gain unauthorised access to the Website, other accounts, or computer systems or networks connected to the Website;

  • use any automated system, bot, or scraper to access or interfere with the Website (including to purchase Products in excess of reasonable quantities);

  • transmit malicious code, spam, or material that is defamatory, offensive, or infringes the rights of others;

  • place fraudulent or bad-faith Orders, or Orders you do not intend to pay for.

We may suspend or terminate your access to the Website if you breach these Terms.

4. Products and Orders

4.1 Product information

We take care to present our Products accurately. Colours, sizing, and details may vary slightly from images displayed on the Website due to screen settings, photography lighting, and the natural characteristics of fabrics. Measurements provided are approximate.

4.2 Placing an Order

An Order is an offer by you to purchase Products at the price displayed (including any applicable delivery fees). We accept your Order — and form a binding contract — when we send you an order confirmation email. Until that point, we may decline or cancel an Order (for example, if a Product is out of stock, if an error in pricing has occurred, or if we suspect fraud), in which case we will notify you and refund any amount already paid.

4.3 Stock availability and limited releases

Some Products may be released in limited runs or "drops". Availability is not guaranteed until your Order is confirmed. If a Product becomes unavailable after you place an Order, we will notify you and provide a refund or, where you agree, an alternative Product of equal value.

4.4 Sizing and product care

Please review sizing guides and product care instructions provided on the Website before ordering. Products must be cared for in accordance with the care instructions supplied to be eligible for remedies in respect of faults arising from improper care.

5. Pricing and Payment

5.1 Prices

All prices are displayed in Australian dollars (AUD) and include GST where applicable, unless otherwise stated. Prices are subject to change without notice, but changes will not affect Orders already confirmed.

5.2 Errors

If an obvious pricing or product information error occurs, we may cancel the affected Order and provide a full refund, even after an order confirmation has been sent.

5.3 Payment methods

We accept the payment methods displayed at checkout, which may include major credit and debit cards and other electronic payment options. Payment is processed through secure third-party payment providers. We do not store your full card details.

5.4 Billing

By submitting payment details, you confirm that you are authorised to use the payment method and that the information you provide is accurate. Your Order will not be dispatched until payment has cleared.

6. Delivery

6.1 Delivery area

We currently deliver to addresses within Australia only. We do not ship internationally at this time.

6.2 Delivery times and costs

Estimated delivery times and delivery fees are displayed at checkout. Delivery estimates are indicative only and commence from the date of dispatch, not the date of Order. We are not liable for delays caused by courier services or events beyond our reasonable control, but we will work with you to resolve delivery issues.

6.3 Risk and title

Risk in the Products passes to you on delivery to your nominated address or to collection at a pick-up point. Legal title passes to you once payment has been received in full.

6.4 Failed delivery

If a courier is unable to deliver your parcel and it is returned to us, we will contact you to arrange re-delivery. Additional delivery fees may apply.

7. Returns, Refunds, and Exchanges

7.1 Your rights under the Australian Consumer Law

Nothing in these Terms limits or excludes your rights under the ACL and other applicable laws. Our Products come with guarantees that cannot be excluded under the ACL. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have Products repaired or replaced if the Products fail to be of acceptable quality and the failure does not amount to a major failure.

7.2 Faulty or incorrect items

If a Product arrives damaged, faulty, or is not what you ordered, please contact us at contact@mipostudio.com within 14 days of delivery with your order number and photos of the issue. We will arrange a replacement, repair, or refund in accordance with your rights under the ACL.

7.3 Change of mind

If you simply change your mind, we will accept returns of unworn, unwashed Products in their original condition and packaging with tags attached within 14 days of delivery, unless otherwise stated for a specific Product (for example, final-sale or made-to-order items). Return shipping costs for change-of-mind returns are your responsibility unless the Product is faulty or incorrect. Refunds will be issued to your original payment method within a reasonable timeframe after we receive and inspect the returned Product.

7.4 Items excluded from change-of-mind returns

For hygiene and customisation reasons, certain items (such as accessories worn close to the skin and made-to-order or personalised Products) may be excluded from our change-of-mind return policy. Any exclusions will be clearly stated on the relevant product page. This does not affect your rights under the ACL in relation to faulty Products.

8. Intellectual Property

All content on the Website — including the Mipo Studio name and logo, product designs, images, graphics, text, layouts, and trade marks — is owned by or licensed to Mipo Studio and is protected by Australian and international intellectual property laws. The Mipo Studio modular design system and associated designs remain our intellectual property.

You may not copy, reproduce, republish, download, transmit, or use any of this content without our prior written consent, except where permitted by law (for example, fair dealing for personal, non-commercial use). Nothing in these Terms transfers any intellectual property rights to you.

9. User content

If you submit content to the Website or to our social media channels (such as reviews, photos, or comments), you:

  • confirm you own or have the right to use that content;

  • grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display that content for marketing and operational purposes; and

  • agree not to submit content that is unlawful, offensive, defamatory, or infringes the rights of others.

We may remove user content at our discretion.

10. Promotions and discount codes

Promotional offers, discount codes, and free shipping thresholds apply as stated in the specific offer terms, and may be withdrawn or modified at any time. We may cancel Orders where a code has been used outside its intended terms, and refund any amount paid. Offers cannot be applied retrospectively to Orders already placed.

11. Third-party links and services

The Website may contain links to third-party websites and services (such as payment providers and social media platforms). We are not responsible for the content, policies, or practices of third parties. Your use of third-party websites is at your own risk and subject to their terms.

12. Limitation of liability

To the extent permitted by law:

  • the Website is provided on an "as is" and "as available" basis without warranties of any kind, except those that cannot be excluded under the ACL;

  • we are not liable for any indirect, incidental, special, or consequential loss or damage arising from your use of the Website or purchase of Products, including loss of profit, data, or goodwill; and

  • our total liability arising out of or in connection with Products is limited, at our option, to the replacement, repair, or refund of the relevant Products.

Nothing in this clause excludes, restricts, or modifies your rights under the ACL or any other rights that cannot be excluded by law.

We collect and handle personal information in accordance with our Privacy Policy and the Australian Privacy Principles under the Privacy Act 1988 (Cth). Please read our Privacy Policy for details of how we collect, use, store, and disclose your information.

14. Force majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including natural disasters, pandemics, strikes, transport interruptions, supplier failures, or outages of internet, hosting, or payment services.

We may update these Terms from time to time. The current version will be published on this page with the "Last updated" date above. Material changes will be flagged on the Website. Continued use of the Website after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia. Any dispute arising out of or in connection with these Terms is subject to the non-exclusive jurisdiction of the courts of Victoria.

We will always aim to resolve complaints promptly and fairly, and nothing in this clause affects your rights under the ACL or to make a complaint to a consumer protection agency such as Consumer Affairs Victoria or the ACCC.
